The Firm's Tokyo office was established in 1990 and has a leading practice among U.S. law firms in the areas of cross-border capital raising and mergers and acquisitions. The Tokyo office provides clients with experienced transactional lawyers who have Japanese language capability and can also call upon the full range of the Firm's expertise. The Tokyo office consistently participates in the largest capital markets transactions involving Japanese issuers, particularly initial public offerings and bank capital transactions. Recent engagements as issuerтАЩs counsel include the initial public offerings of Seven Bank and Sony Financial Holdings, as well as offerings by Chuo Mitsui Trust Holdings, Elpida Corporation, Mizuho Financial Group, Shinsei Bank and Universal Studios Japan. The office also regularly represents underwriters in the Tokyo market, including on offerings by All Nippon Airways, J-Power, Mitsubishi UFG Financial Group, Orix Corporation, Sumitomo Mitsui Financial Group and Toyota. The Firm has been active in groundbreaking cross-border M&A transactions in Japan, including advising the consortium assembled by Ripplewood and J.C. Flowers to acquire The Long-Term Credit Bank of Japan (now Shinsei Bank) from the Japanese government. The Firm regularly represents private equity firms, strategic buyers and Japanese corporations in connection with cross-border transactions. The Tokyo office has also acted as U.S. legal advisor in connection with a number of major business combinations among Japanese corporations. Lawyers in the Tokyo office have considerable experience and a long-term commitment to the market. David Sneider has been head of the Tokyo office since 1994, and Alan Cannon joined the Tokyo office in 1998 after first working in the Firm's New York and Hong Kong offices.
