Dewey & LeBoeuf's Frankfurt office has approximately 50 lawyers and 20 other professionals providing clients with legal advice on German-related mergers and acquisitions, capital markets, acquisition finance, private equity and corporate finance transactions. In addition, our lawyers provide advice in the areas of tax law, banking and investment funds regulation and asset management, as well as real estate law. The German practice is comprised of lawyers in the Frankfurt office and the "German Desk" in our London office. This team enhances the firm's European capability and enables us to advise clients on German-related issues in a seamless, integrated manner from our Frankfurt and London offices. Through its integration with Dewey & LeBoeuf's other European offices and the firm's worldwide practice, the German practice is able to provide clients with advice on matters in a truly cross-border context. Our German Corporate M&A/Private Equity Group advises clients on national and international acquisitions and disposals, private equity transactions, takeovers and joint ventures, as well as all related matters of corporate law. The team has extensive experience in the corporate restructuring and distressed assets areas. The Corporate Finance Group has decades of experience in representing international groups, investment banks, private equity funds and other financial institutions as issuer, underwriter, arranger, placement agent or lender in all types of public or private financial and structured finance transactions. The group is actively involved in the design of innovative securities products custom tailored to the needs of our clients and the demands of the market. We also design derivatives products to facilitate financing transactions. The lawyers in our German Banking Regulatory Law/Asset Management Team advise national and international banks, financial services providers, investment and insurance companies on all aspects of German law. The "German Desk" based in our London office works closely with lawyers in our Frankfurt office, allowing our clients to benefit from established business relations and contacts with both the German and British financial markets. The core of the German Tax Practice is on the development of structures for derivatives, certificates and other innovative financial products for institutional and private investors, with the aim of providing optimal solutions according to corporate, supervisory and tax law. The Tax Group also provides integrated tax advice on matters handled by the other practice groups. In addition, the group advises international corporations, banks and institutional investors on the establishment of operating sites and subsidiaries at home and abroad, as well as supporting its corporate clients in litigation and company audits. The German Real Estate Law Team advises private and institutional investors, private equity investors and project developers. Our lawyers counsel on the structure, preparation and performance of due diligence reviews, the drafting and negotiation of the relevant documentation, and the subsequent winding-up of a transaction. Their experience extends to portfolio transactions for both commercial and residential properties, as well as transactions for special real properties. The team also advises investors in connections with investments in real property and counsels project developers at all stages of project development. |
