Overview:

k1 is a Singapore based publicly traded investment company, which is managed by highly experienced investment professionals. k1 specializes in strategic investments, with a view of creating platforms, and will take minority or controlling positions based on the facts and circumstances surrounding each opportunity.

Through management's extensive relationships, k1 identifies strategic investments which are believed to have a value gap between a company’s current value and future potential value. This value is obtained by k1 working with owners and management who are committed to improving and expanding their companies. The investments are structured using k1's ability to invest across an entire capital structure, from senior debt to common equity.

k1's investment philosophy starts with the identification of value through stringent due diligence and a proactive approach to value creation. Although k1 strives to invest in companies where it can provide value through pro active participation, k1 also has the agility to deal with regulatory limitations in industries that may limit k1's involvement in management. In these cases, k1 will look to a strong in-place management team with significant prior experience and managers to undertake the business plan.

k1 has extensive experience in working through highly complicated situations, regulated industries, and capital structures. k1 views each investment with a keen eye towards the balance of risk and reward, with creative investment structures designed to mitigate downside risk where possible and in companies where k1 can be viewed as value added. k1 is flexible in its approach to investing and as a result can invest in non controlling or controlling positions. This flexibility makes k1 a choice partner for existing owners, management and other stakeholders in the companies that k1 invests in.

k1’s management team offers a valuable set of resources to the investment, which in addition to capital, consists of financial and operational expertise and market knowledge and relationships to the management and Board of Directors of its investee companies.

History:

The Company, formerly known as Singmarine Shipyard (Private) Limited, was incorporated on 7 July 1970. A wholly-owned subsidiary of Keppel from July 1976, it was originally engaged in engineering and anchorage repair activities. It was converted to a public limited company on 8 July 1987 and changed its name to Singmarine Industries Ltd. In 1997, in a Group-wide corporate exercise, it changed its name to Keppel Marine Industries Limited.

In 1999, in a further consolidation of Keppel Group's marine business, the Company sold its marine-related business to Keppel Hitachi Zosen. It also divested its interests in Keppel's listed companies. Subsequently adopted the name K1 Ventures Limited on 27 July 2000. It is now an investment holding company.
