History: 

FTAA CONSULTING INC. was established in 1997 as the natural extension and territorial expansion of a Colombian International Legal counsel to a Latin American International Legal Counsel.

Represented and advised Germany’s Hoechst AG in establishing a Latin American management office in Boca Raton, Florida. Prior to the Hoechst AG merger with Rhone Poulenc (to form Aventis AG) FTAA Consulting Inc, managed the downsizing, closing and effective liquidation of the Florida offices. This task called for expertise in planning, organizing, managing and implementing exit strategies for foreign corporations intending to build a Latin American organization based in South Florida.

Through HR Abogados Coporativos S.A., represented Hoechst Marion Roussel S.A. (Today Aventis Pharma) for the negotiation and buy out of the license and distribution rights in Colombia of the pharmaceutical line of Merrel Dow products. The advisory contemplated a complex, cross border structure that provided a creative Tax and Corporate structure, while at the same time built a shield to Aventis Pharma over any agency or distribution agreement related claim.

Represented, advised and as such participated in a Project Team for establishing Debis Financial (Daimler-Benz Interservices) Venezuelan equipment financing operations.

Advised Siemens Credit Corporation and SULeasing S.A, Colombia for a joint venture Equipment and Project Finance Venture in Colombia.

Working with The Alta Group, audited a due diligence report and provided due diligence insights to Japan’s Nisho  Iwai with reference to its projected acquisition of Japan Leasing do Brasil S/A.

Representation of Allergan, Inc. and Allergan de Colombia S.A. in negotiating the buyout of the 26 years old distribution rights to the Colombian company Tecnoquímicas, S.A. building a shield over all potential claims for distribution or agency rights.

Advising and counseling Santafe Tiles Corp, a building materials trading company wholly owned by the Colombian tile manufacturer Ladrillera Santafe S.A. FTAA Consulting Inc., teaming with the United States Law firm Woodridge and Salazar, and other local firms in their corresponding jurisdictions provide ongoing counsel for supply chain management, ensuring the effective creation, management, exchange and enforceability of the rights of the company.

1999-2000
Teaming with The Alta Group, developed a comprehensive survey and market strategy report for Heller Financial concerning Equipment Financing of Information Technology Equipment in Latin America.

Advised Manpower Inc. in their negotiations with Nortel for a Latin American Agreement for personnel and call center supply solutions.

Teaming with HR Abogados Corporativos S.A represents Pacific National Bank in enforcing its creditor rights in Colombia, with a very successful recovery rate. This tasks included Legal Strategy risk assessment and formulation, on going negotiation, representation and formulation of claims before competent Courts and Authorities, economic analysis and forecasting, evaluation of alternatives and assessment of legal alternatives, rule of Law and other related factors. The Project Team has proved to be one of the most successful in representing creditor rights and Latin America and achieving its effective recovery.

Represented Southeast Computer Solutions, Inc. in establishing and negotiating its Mexican affiliate for distribution and marketing of Sage Corporation software products.

Worked with HR Abogados Corporativos S.A. to advise and represent Tellabs Inc. in downsizing and restructuring its Colombian branch.

Acted as mediator and advised the partners of Netsol International Inc. (today Netera Inc.). in their shares negotiation for their Colombian and Argentinean affiliates, teaming with Brons & Salas in Buenos Aires.

Teaming with HR Abogados Corporativos S.A. advised and represented SITEL Corp.  in its Corporate and business strategies and negotiated master call centers agreements with Compaq Computers Corporation, Microsoft Corporation  and Banco Santander.

Teaming with HR Abogados Corporativos S.A. advised and represented the German freight forwarder Dacotrans Grosskopf GmbH to establishing its Colombian subsidiary.

Provided office and case management services for mediation and arbitration to the Commercial Dispute Resolution Center of the Americas.

Provided advisory to El Salvador Central Bank agencies: Banco Multisectorial de Inversiones and the Banco Central de Reserva in diagnosing and formulating an incentive policy to the Equipment Leasing Industry, including drafting a Model Law and Credit Policies and Procedures for mezzanine financing to domestic Leasing Companies.

Teaming with Estudio Jurídico Otero, provided due diligence services about Santander Investments Chile for an American Corporation.

Provided Corporate, Tax and Financial advise to Meissa Telecommunications, Inc., a satellite services provider for the telecommunications industry, in connection with its Colombian subsidiary.

Teaming with HR ABOGADOS CORPORATIVOS S.A. provides Corporate and business on going counsel for Allergan, Inc. the world second largest ophthalmic pharmaceutical Corporation.

Advised London Bridge Software Group, LBSS, Inc. in drafting its master software license agreements for Argentina and Colombia.

Advised 3 Com Corporation in drafting and negotiating sales contracts with Colombian Government entities Ecopetrol and Telecom.
Since 1999 to date, Engaged with AT&T Capital Corporation its successor Newcourt Financial Group, and its further successor CIT GROUP INC.  for providing a comprehensive Head legal counsel services for the Latin American Region.In that capacity:

Established a centralized, strong legal compliance system with a day to day supervision of overall Corporate structure, governance and business development in Mexico, Brazil, Argentina, Colombia, Chile and Venezuela.

Achieved a legal budget reduction for the overall, region from more than 300 basis points to 11 basis points applied on the total Latin American equipment leasing portfolio.

Directs the legal Group strategy within the Delinquency management team for effective enforcement of CIT creditor’s rights throughout Latin America, achieving the lowest delinquency ratio of any financial entity doing business in Latin America. Notably the team shows important recovery results in cases such as Altos Hornos de México S.A., Bufete Industrial S.A. (Mexico), Transportes Alicahue (Chile), and other major defaults, and insolvency proceedings.

Developed a comprehensive legal information data base of the six (6) largest Latin American countries providing fast information reducing the consultation cycle for Latin American legal issues, leading to savings in local outside counsel billing and allocation of resources, hence improving efficiency, competitive capacity to enter into complex transactions without delay and other related benefits.

Oversees the performance and development in Latin America of Global Equipment Vendor Financing Programs for Avaya Financial Services, Inc.. Dell Financial Services, Inc. and the recently added Agilent Financial Services, Inc.

Represented, advised and directed the Legal Team for the negotiation of the Vendor Equipment Financing Program Agreement, and the evaluation, due diligence, negotiation and US$ 60 million portfolio acquisition between Agilent Technologies, Inc. and THE CIT GROUP, Inc., for Mexico and Brazil (Teaming with the Brazilian Law firm of Leaes Advogados). This is one of the most comprehensive and technically Vendor Programs for Equipment Financing regionwide.

Teaming with the Brazilian Law firm of Leaes Advogados, negotiated for The CIT Group the enforcement of representation and warrantees by American Express, Inc. in connection to the Share Sales and Purchase Agreement in connection with Brazil´s Inaf Arrendamento Mercantil S/A, today CIT Brasil Arrendamento Mercantil S/A.

Coordinated the filing and compliance as well as the clearance and permits by the antitrust authorities of Brazil, Mexico and Argentina for the merger and acquisition by Tyco International Ltd. of The CIT Group.
