Overview:

Penn Mezzanine is a premier mezzanine / minority equity firm with a history spanning nearly three decades. We have a diversified approach, pursuing a wide variety of privately held lower middle market companies including:

   Sponsored and non-sponsored, family-owned, management-owned, and fundless sponsor (or independent sponsor) transactions
   Manufacturers, consumer and business service businesses, value-added distributors, and other companies and industries
   Buyouts, mergers and acquisitions, recapitalizations, debt refinancings, and other types of transactions.

Our Investment Committee and team is comprised of seven professionals with over 150 years of collective relevant experience. We have the ability to understand situational performance histories and complex transactions.

There is no typical investment profile, and each investment is uniquely structured to fulfill the transaction and company situation. However, our mainstream investment goal is to make senior subordinated debt investments with a mezzanine-market cash coupon and warrants for common equity. We also structure our debt investments with some degree of payment-in-kind (PIK) interest. We typically structure our debt investments with maturities ranging from 4-6 years. While every Penn Mezz investment is grounded by a cash interest bearing debt investment, we often invest structured equity alongside our mezzanine loans and sometimes seek to invest common stock.

We respond rapidly to new investment opportunities and our nimble firm structure provides for an efficient due diligence and investment closing process. We have in the past, and are able today, to club with other mezzanine firms and/or our limited partners to close larger $10+ million investments. Our strategic and financial partnership with Safeguard Scientifics (NYSE: SFE) also gives us a wealth of resources to contribute value to portfolio company growth and help drive shareholder value.
