Overview:

Shearman & Sterling's Toronto office advises on and executes cross-border and international transactions involving Canadian issuers. The office, which opened in 1989, was the first permanent presence established by a US law firm in Canada.

Lawyers in our Toronto office represent Canadian issuers and US and Canadian financial institutions in both public and private financings, mergers and acquisitions, US stock exchange listings, and corporate governance matters. The office has been involved in almost every significant development in Canadian cross-border transactions of the last 16 years, including the creation of the Canada-US Multi-jurisdictional Disclosure System (MJDS). This system was adopted by the US Securities & Exchange Commission and the Canadian securities regulatory authorities to improve Canadian issuers' access to US capital markets. While our lawyers do not advise on Canadian law, their work aligns the firm with the needs of the Canadian business community and allows us to better service the needs of both our international and Canadian clients.

Today, the Toronto office is the largest of any US law firm in Canada, and includes New York and California qualified attorneys. The office regularly works with our lawyers firmwide to offer a full range of international legal services to clients.
