Overview:

Established in 2007, Sidley's Sydney office focuses on corporate finance and other corporate matters, including U.S. and cross-border capital raisings, cross-border mergers and acquisitions, private debt and equity transactions and finance, structured finance and project finance transactions for Australian, New Zealand and U.S. companies and investment banks.

The team's corporate finance work in Sydney has encompassed U.S. initial public offerings; public offers of debt and equity securities for seasoned issuers; private placements of debt, equity and hybrid securities, including Rule 144A and Regulation S offerings and “traditional” Section 4(2) debt private placements; and venture capital investments and exits. Our lawyers have also acted on a number of complex structured finance and cross-border financing transactions. In addition, they have acted for issuers in connection with their ongoing reporting obligations under the U.S. securities laws and Australian and New Zealand companies in establishing both listed and unlisted American Depositary Receipt programs.

The firm's mergers and acquisitions work has primarily focused on cross-border tender offers and exchange offers, "going private" transactions, mergers and stock and asset purchases.

In Sydney, our lawyers practice only U.S. law. However, we work closely with the leading local Australian and New Zealand counsel on a broad range of transactions. In addition, the lawyers in the Sydney office assist U.S. and other international clients in managing transactions in Australia and New Zealand even where the transactions are not governed by U.S. law.

The office is located at 7 Macquarie Place, near the Circular Quay, overlooking Sydney Harbour and the Opera House.
